Welcome to AdStar.Ai. These Terms of Use ("Terms") govern your access to and use of the AdStar.Ai platform, including all related tools, services, and features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To use certain features, you must create an account. You can register using Google authentication, Microsoft authentication, or an email address and password. After registration, you may also add a passkey for passwordless sign-in. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3. Use of the Service

AdStar.Ai provides AI-powered advertising creative generation tools. You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

Use the Service to create misleading, deceptive, or fraudulent advertising content.
Upload content that infringes on intellectual property rights of any third party.
Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms.
Use automated bots, scrapers, or similar tools to access the Service.
Interfere with or disrupt the integrity or performance of the Service.
Use the Service to generate content that is illegal, harmful, hateful, or violates applicable advertising standards.

4. User and Generated Content

The Service uses artificial intelligence to analyze web pages and generate advertising creatives. Generated content is provided "as is" and may not always be accurate, appropriate, or suitable for your needs. You are solely responsible for reviewing, editing, and approving all generated content before use. AdStar.Ai does not guarantee the accuracy, completeness, or suitability of any generated output.

Generated content may infringe or otherwise affect the intellectual property, privacy, publicity, or other rights of third parties. You are solely responsible for reviewing generated content and determining whether you have all rights and permissions necessary before using it for commercial purposes.

AdStar.Ai does not verify whether a user is authorized to use any brand names, trademarks, logos, product images, or other materials submitted to or used through the Service. To the maximum extent permitted by applicable law, AdStar.Ai is not responsible or liable for any unauthorized use of such materials by a user or for any claims, damages, or losses arising from content generated at the user's request.

Your Content: You retain any rights you hold in the content you upload to the Service, including brand assets, logos, product images, and text. By uploading content, you grant AdStar.Ai a non-exclusive, worldwide license to use, process, and store your content solely for the purpose of providing the Service. You represent and warrant that you have all rights, licenses, permissions, and consents necessary to upload and process your content through the Service, including any images, videos, audio recordings, voices, and personal data contained in that content.

Generated Content: Subject to your compliance with these Terms, you own the advertising creatives generated through the Service using your input content. AdStar.Ai retains no ownership rights over generated creatives. Your ownership of generated content applies only to the extent that intellectual property or other proprietary rights in AI-generated content are recognized under applicable law.

Demo Gallery: AdStar.Ai may publish generated content in its demo gallery only with the user's explicit consent and solely to demonstrate the capabilities of the Service. Such publication does not constitute official advertising, affiliation, sponsorship, or endorsement by any brand or third party appearing in the content, nor does it constitute verification or confirmation that the user is authorized to use any brands, trademarks, logos, images, or other materials included in it. AdStar.Ai reserves the right to remove any content from the demo gallery at any time, including in response to a complaint from a rights holder.

5. Intellectual Property

The Service, including its design, layout, appearance, features, functionality, software, source code, interfaces, workflows, technology, documentation, text, graphics, and other platform materials, is the exclusive property of AdStar.Ai and is protected by applicable intellectual property laws. The AdStar.Ai name, brand, logo, domain names, trademarks, service marks, and other brand elements are also the exclusive property of AdStar.Ai. Except as expressly permitted by these Terms, no part of the Service or its brand elements may be copied, reproduced, modified, distributed, published, licensed, sold, or otherwise used without the prior written permission of AdStar.Ai. All rights not expressly granted under these Terms are reserved.

6. Credits and Payment

Certain features of the Service require credits. Credits are consumed when using paid generation or processing features of the Service. Credit packages and pricing are displayed on the platform. All purchases are final and non-refundable, except where required by applicable law. AdStar.Ai reserves the right to modify pricing and credit allocations at any time with reasonable notice.

Because AI-generated results may vary, dissatisfaction with the quality, style, accuracy, or suitability of generated content does not entitle the user to a refund or restoration of credits. Credits may be restored only if a generation or processing operation fails to complete due to a technical error attributable to AdStar.Ai, except where otherwise required by applicable law.

7. Third-Party Services

The Service may integrate with or rely on third-party services (e.g., OpenAI for AI processing, Azure for hosting). AdStar.Ai is not responsible for the availability, accuracy, or practices of third-party providers. Your use of third-party services is subject to their respective terms and policies.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ADSTAR.AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AdStar.Ai may temporarily suspend or limit access to the Service for maintenance, updates, repairs, security measures, or other operational reasons. AdStar.Ai shall not be liable for any interruption, delay, loss, or inconvenience resulting from such temporary unavailability.

The Service may change over time as features, technologies, models, and system requirements are updated. AdStar.Ai does not guarantee that previously generated content will remain compatible with future versions of the Service or that modification, translation, resizing, revision, or other processing features will remain available for such content. To the maximum extent permitted by applicable law, AdStar.Ai shall not be liable for the unavailability of these features for previously generated content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADSTAR.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. ADSTAR.AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID TO ADSTAR.AI IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 10,000.

To the maximum extent permitted by applicable law, AdStar.Ai shall not be liable for, and shall have no obligation to compensate or reimburse any person for, any claims, damages, losses, costs, or expenses arising from user content, generated content, the user's use of generated content, or the unauthorized use of any third-party brands, trademarks, logos, images, or other materials.

AdStar.Ai is not a party to, and has no obligation to mediate or resolve, any dispute between a user and a third party concerning user content or generated content, including disputes involving brands, trademarks, logos, copyrights, privacy, publicity, or other rights. Such disputes must be resolved directly between the user and the relevant third party. To the maximum extent permitted by applicable law, AdStar.Ai shall not be liable for, and shall have no obligation to compensate or reimburse any person for, any claims, damages, losses, costs, or expenses arising from such disputes, from user content, or from the user's use of generated content.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall survive.

Upon deletion of your account, you will immediately lose access to your account, user content, and generated content. You are responsible for downloading and saving any content you wish to retain before deleting your account. AdStar.Ai has no obligation to retain, restore, or provide copies of deleted content and, to the maximum extent permitted by applicable law, is not liable for any loss resulting from account deletion.

11. Changes to Terms

AdStar.Ai reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the platform. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including their formation, interpretation, breach, termination, or validity, shall be finally resolved by binding arbitration seated in Jerusalem, Israel. The arbitration shall be conducted in English by a single arbitrator mutually agreed upon by the parties. If the parties cannot agree on an arbitrator, the arbitrator shall be appointed in accordance with the applicable arbitration laws of the State of Israel. The arbitration award shall be final and binding upon the parties and may be enforced by any court of competent jurisdiction. The competent courts located in Jerusalem, Israel shall have exclusive jurisdiction over any proceedings relating to interim relief, enforcement of an arbitration award, or matters that cannot legally be resolved through arbitration. Nothing in this section limits any mandatory rights or remedies available to consumers under applicable law.
